This Ad Server Solutions End-User License Agreement ("EULA") is a legal agreement between you (either an individual, company or a single entity) and AdServerSolutions.com for the Ad Server Solutions software products, programming and services which includes computer software, software programming and may include associated media, printed materials, and "online" or electronic documentation (collectively, "Software Product"). By installing, copying, or otherwise using the Software Product and services, you agree to be bound by the terms of this EULA.


Software Product License

Copyright laws and international copyright treaties, as well as other intellectual property rights, laws and treaties protect the Software product. The Software product is licensed, not sold. The Software product and any work done on these products are soley owned and copyrighted by Ad Server Solutions. Your license confers no title or ownership in the Software and is not a sale of any rights in the Software.

Limit of Liability

Ad Server Solutions is not, and will not, be held liable for any conduct associated with your use of this program, any actions for your advertising activity, nor for any content posted using Ad Server Solutions software.

The user must assume the entire risk of using the software and services. Ad Server Solutions is not to be held liable, and will not accept any liability for any damages, direct or consequential, resulting from the installation or use of this software or services. Ad Server Solutions may list clients and testimonials on our website. This includes, but is not limited to, loss of stored data or loss of operational capability of the associated hardware and software systems.


License Grant

Ad Server Solutions grants your company a license to use the Software. Users or license owners may not give non license holders access to or permission to modify the software. Although license holders may modify the code for their use, modified code may NOT be resold or distributed as it is property of Ad Server Solutions. Ad Server Solutions copyright link in products may not be modified or removed.

Ownership

The Software is owned and copyrighted by Ad Server Solutions or its third party suppliers. Your license confers no title or ownership in the software product or programming work done on the software product and is not a sale of any rights of the Software product. Programming work provided by our programming services on such software is non exclusive and is property of Ad Server Solutions. Such work may be released at Ad Server Solutions discretion in future product updates for customers with our own spin so as to not intentionally be exactly identical looking. Ad Server Solutions may protect its rights in the event of any violation of these License Terms.


Modification Use

Ad Server Solutions grants you a non-exclusive, limited license to modify the SOFTWARE PRODUCT for your own use either through our programming services or by purchasing our source codes and api's. The modified SOFTWARE PRODUCT by shall not be made available for sale, resale, distribution or publication under any circumstances by any license holder. Programming work provided by our programming services on such software is non exclusive and is property of Ad Server Solutions. Such work may be released at Ad Server Solutions discretion in future product updates for customers with our own spin so as to not intentionally be exactly identical looking.


Software Transfer

You may permanently transfer all of your rights under this EULA, provided you retain no copies, you transfer all of the Software Product (including all component parts, the media and printed materials, any upgrades, this EULA, and, if applicable, the Certificate of Authenticity), and the recipient agrees to the terms of this EULA.


Unauthorized Use

These software and hardware systems are not to be used for presenting irrelevant, misleading or Illegal Activities. Ad Server Solutions reserves the right to cancel all product licenses, support and future updates without any monetary refund if you violate any of Ad Server Solutions license agreements or terms and conditions.


Termination

Ad Server Solutions may terminate your license upon notice for failure to comply with any of these License Terms and Conditions. Upon termination, you must immediately destroy the Software, together with all copies, adaptations and merged portions in any form.

Installation

If your Hosting specs are not acceptable for our software we can and will provide these services at an additional fee. It is your responsibility to check these server specs prior to placing your order. We can provide Dedicated Server Rentals, Virtual Server Rentals and Ad Bureau Hosting at your expense. License fees for software are non refundable. Check pricing from our main page.

The customer is responsible for determining if the product is suitable by using the online demos for your trial period. Refunds are not given for missing features or capabilities for our software products which feature fully functional online demos for a trial period. Refunds are NOT given for Setup Fees, Installation fees, Server Installation Fees, hosting fees, Software fees, programming fees, Contract fees, License Fees for software or other non-product labor costs.

The customer is responsible for determining if the product is suitable by using the fully functioning online demos prior to ordering. Please choose the correct platform and software applications as sales are final. If you want a different platform or software application you will be required to purchase. Refunds are not given for inability to meet hardware or software requirements for which the requirements are clearly listed on the website and instructions are provided. Refunds are not given for missing or different features or functions as different versions may have different features and functions. If you have problems installing the license software we will provide installation and/or hosting at our listed prices and at your expense..

LIMITED WARRANTY

NO WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AD SERVER SOLUTIONS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODUCT, PROGRAMMING, HOSTING, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES.

LIMITATION OF LIABILITY.  THIS AGREEMENT MAY BE MODIFIED AT AD SERVER SOLUTIONS DISCRETION AT ANY TIME. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AD SERVER SOLUTIONS OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER  LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, PROGRAMMING SERVICES, HOSTING OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF AD SERVER SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
